1. License & Ownership

• TinyOrange is provided as a freemium application with basic features available at no cost and premium features available through paid subscription.
• We grant you a limited, non-exclusive, non-transferable, revocable license to use TinyOrange for personal or business task management on devices you own or control.
• All intellectual property rights, including copyrights, patents, trademarks, and trade secrets in the application and its content, features, and functionality, are owned by TinyOrange and are protected by United States and international intellectual property laws.
• You may not:
  • Modify, adapt, or hack the application
  • Create derivative works based on the application
  • Decompile, reverse-engineer, disassemble, or attempt to extract the source code
  • Redistribute, sell, rent, lease, or sublicense the application
  • Remove proprietary notices or labels on the application
  • Use the application for any illegal purpose

2. User Accounts and Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must provide accurate and complete information when creating an account and keep your account information updated.
• This application is intended for personal and business task management only. You may not use it for any unauthorized or illegal purpose.
• You are responsible for all content you create, upload, or store using the application.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in inappropriate or illegal activities.

3. Subscription and Payments

• TinyOrange offers a free tier with basic functionality and a premium subscription with advanced features.
• Premium subscriptions are billed monthly at $4.99/month.
• New users receive a 14-day free trial of all premium features when they first create their account. The trial starts immediately upon account creation.
• Cancellation policy:
  • You can cancel your subscription at any time through your dashboard
  • Your subscription will remain active until the end of your current billing period
  • After the billing period ends, you'll automatically switch to the free plan
• Since we offer a 14-day free trial of all premium features with every new account, we do not offer refunds. Refunds are only issued in cases of billing errors or as required by law.

4. Data Backup and Loss

• While we implement measures to protect and back up your data, you are responsible for maintaining your own backups of important task information.
• We recommend regularly exporting your data using the export feature within the application.

5. Disclaimers & Limitation of Liability

• TinyOrange is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the application will meet your requirements, be error-free, or operate without interruption.
• We are not responsible for:
  • Data loss or corruption
  • Security breaches not caused by our negligence
  • Unauthorized access to your account
  • Service interruptions or failures
  • Any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the application
• Our total liability for any claims related to these Terms or the application shall not exceed the amount you paid to use the application in the past 12 months.

6. Indemnification

You agree to indemnify, defend, and hold harmless TinyOrange and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the application
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your user content

7. Termination

• You may terminate your account at any time by contacting us or using the delete account function within the application.
• We reserve the right to suspend or terminate your access to the application at any time for violation of these Terms, suspected fraudulent activity, or any other reason we deem appropriate.
• Upon termination, your right to use the application will immediately cease, and we may delete or disable access to your account and data.

8. Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Continued use of the application after such changes constitutes your acceptance of the revised Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Delaware, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or the application shall be subject to the exclusive jurisdiction of the courts in Delaware.

10. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

11. Entire Agreement

These Terms constitute the entire agreement between you and TinyOrange regarding your use of the application and supersede all prior and contemporaneous written or oral agreements.
